Terms of Use
These Terms govern your access to and use of GOSAR's platform and services. By using GOSAR, you agree to be bound by these Terms.
Important Notice: These Terms of Use constitute a legally binding agreement between you (or the entity you represent) and GOSAR PRIME TECHNOLOGY (trading as GOSAR). By accessing or using the GOSAR platform, registering an account, or engaging any of our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our services.
01 Introduction & Acceptance
These Terms of Use ("Terms") apply to your access to and use of the GOSAR platform, website (gosar.co), APIs, and all related services (collectively, the "Platform") operated by GOSAR PRIME TECHNOLOGY and its affiliated entities ("GOSAR," "we," "our," or "us").
GOSAR provides fintech infrastructure services across multiple jurisdictions, including business incorporation, regulatory licensing, compliance management, and Merchant of Record (MoR) solutions. These Terms apply to all clients, merchants, end users, visitors, and other individuals who access or use the Platform.
Where GOSAR provides services under a separate Master Services Agreement, Merchant Agreement, or similar contract ("Service Agreement"), that Service Agreement shall take precedence over these Terms in the event of conflict. These Terms supplement and apply alongside any such Service Agreement.
We may update these Terms from time to time. Continued use of the Platform after any update constitutes acceptance of the revised Terms. Material changes will be communicated with at least 30 days' notice.
02 Definitions
03 Eligibility
To access and use GOSAR's services, you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher
- Have the legal capacity and authority to enter into binding contracts, or be duly authorised to act on behalf of a legal entity
- Not be incorporated in, operating from, or a national or resident of any country subject to comprehensive sanctions by OFAC, the UN, EU, UK, or applicable international bodies
- Not be a Politically Exposed Person (PEP), a listed terrorist entity, or otherwise on any financial crime watchlist without having disclosed this to GOSAR and completed enhanced due diligence
- Not have been previously suspended or terminated from the GOSAR Platform for violations of these Terms
- Operate a legitimate business purpose consistent with Applicable Law and GOSAR's acceptable use standards
GOSAR reserves the right to verify eligibility at any time and to decline or suspend access where eligibility requirements are not met. Providing false information to establish eligibility is a material breach of these Terms.
04 Services
GOSAR provides the following core service categories through the Platform:
Service Availability
GOSAR does not guarantee uninterrupted or error-free access to the Platform. We may modify, suspend, or discontinue any part of the Platform at any time, with reasonable notice where practicable. GOSAR shall not be liable for any interruption resulting from circumstances beyond our reasonable control.
Third-Party Services
Certain services are delivered in whole or in part by third-party providers including identity verification platforms, payment networks, and banking partners. Your use of third-party components may be subject to those third parties' own terms and conditions.
No Legal or Financial Advice
Important: GOSAR's services, including regulatory licensing and compliance services, do not constitute legal advice, tax advice, financial advice, or investment advice. GOSAR facilitates regulatory processes on your behalf but does not act as your solicitor or counsel. You remain responsible for obtaining independent legal and professional advice applicable to your circumstances.
05 Merchant of Record Terms
Where GOSAR acts as Merchant of Record (MoR) for your business, GOSAR is the legal entity that processes payments from End Users on your behalf, operating under GOSAR's own financial services licenses. The following additional terms apply.
Scope of MoR Arrangement
- GOSAR accepts responsibility for payment processing, chargebacks, and regulatory compliance in MoR-enabled jurisdictions as agreed in your Service Agreement
- GOSAR will remit proceeds to you, net of applicable fees, within the settlement timelines specified in your Service Agreement
- GOSAR's financial services licenses are used for MoR activities; you may not represent to third parties that you independently hold those licenses
- You authorise GOSAR to communicate with End Users on matters relating to payment processing, refunds, and transaction disputes
Client Obligations in the MoR Model
- Maintain accurate and complete product or service descriptions visible to End Users at the point of purchase
- Comply with applicable consumer protection laws in the jurisdictions where your products or services are offered
- Promptly inform GOSAR of any product changes, pricing changes, or issues that may affect transaction patterns or refund rates
- Not use GOSAR's MoR infrastructure to process transactions for prohibited product categories (see Section 9)
- Maintain chargeback and dispute rates below the thresholds communicated by GOSAR from time to time; persistent excess may result in suspension of MoR services
Reserves & Holds
GOSAR may establish a rolling reserve of a percentage of your settlement proceeds to cover potential chargebacks, disputes, or regulatory exposures. Reserve amounts, durations, and release conditions will be set out in your Service Agreement. GOSAR may adjust reserve requirements based on changes in your transaction risk profile.
Refunds & Disputes
GOSAR will process refunds and manage End User disputes as set out in the dispute handling procedures in your Service Agreement. You are responsible for providing GOSAR with sufficient information and cooperation to respond to chargebacks within applicable card scheme timeframes.
Regulatory Conditions
The MoR service is available only in jurisdictions where GOSAR holds or operates under the relevant regulatory license. GOSAR may withdraw MoR services from a jurisdiction if regulatory conditions change, with as much notice as reasonably practicable.
06 Accounts & Platform Access
Account Registration
To access the GOSAR Platform, you must create an account and provide accurate, current, and complete information. You agree to maintain and promptly update your account information. GOSAR may rely on the information you provide; inaccurate information may result in suspension or termination.
Account Security
- You are responsible for maintaining the confidentiality of your login credentials
- You must enable multi-factor authentication (MFA) where offered and required by GOSAR
- You must notify GOSAR immediately at security@gosar.co of any suspected unauthorised access to your account
- GOSAR is not liable for losses arising from your failure to secure your credentials
API Access
Where you access the Platform via API, you must keep API keys confidential, rotate them regularly, and revoke compromised keys immediately. Automated access that circumvents platform controls or disrupts service availability is prohibited.
Authorised Users
You may grant access to the Platform to employees or contractors on your behalf ("Authorised Users"). You remain responsible for all actions taken by Authorised Users and must remove access promptly when an Authorised User's engagement with your business ends.
07 Fees & Payment
Fee Structure
Fees for GOSAR services are set out in your Service Agreement or the applicable pricing schedule on the Platform. Fees may include: onboarding fees, subscription fees, transaction fees, settlement fees, licensing facilitation fees, and advisory retainers. GOSAR reserves the right to update its pricing with at least 30 days' written notice.
Payment Obligations
- All fees are due in the currency specified in your Service Agreement
- Invoices are due within 14 days of issue unless otherwise stated
- GOSAR may offset outstanding fees against settlement proceeds where you have authorised this in your Service Agreement
- Late payments may attract interest at the applicable statutory rate in the governing jurisdiction
Taxes
You are responsible for all applicable taxes, duties, and levies arising from your use of GOSAR services, including VAT, WHT, and sales tax in your jurisdiction. GOSAR will issue tax invoices where required by law.
Invoice Disputes
You must raise any dispute on an invoice within 14 days of the invoice date. Undisputed portions of invoices remain payable by the due date. Disputes must be submitted in writing to billing@gosar.co.
Suspension for Non-Payment
GOSAR may suspend access to the Platform or withhold settlements if fees remain unpaid for more than 30 days beyond the due date, following written notice. Suspension does not waive our right to recover outstanding amounts.
08 KYC, AML & Regulatory Obligations
Your KYC Obligations
As a regulated payments and licensing infrastructure provider, GOSAR is required by law to verify the identity of all Clients and, in certain circumstances, End Users. You agree to:
- Provide all identity and business verification documents requested by GOSAR promptly and accurately
- Promptly update GOSAR if there are material changes to your business, ownership structure, or beneficial owners
- Conduct your own KYC and AML screening on End Users where required by Applicable Law in your jurisdiction
- Maintain records of your KYC/AML activities in accordance with Applicable Law
- Cooperate fully with any enhanced due diligence (EDD) request from GOSAR
GOSAR's AML Rights
GOSAR may, without prior notice:
- Refuse, delay, block, or reverse any transaction suspected of being connected with money laundering, terrorist financing, sanctions evasion, or fraud
- Report suspicious activities to applicable financial intelligence units (FINTRAC, NFIU, and other relevant authorities)
- Freeze or suspend accounts pending investigation of compliance concerns
- Terminate services where GOSAR is unable to complete adequate due diligence
Tipping-Off Prohibition: Where GOSAR files a suspicious activity or transaction report with a regulatory authority, we are legally prohibited from informing you that such a report has been made. This is not a breach of these Terms or our confidentiality obligations.
Sanctions Compliance
You represent and warrant that you are not subject to, and will not use GOSAR services to circumvent, any applicable sanctions imposed by OFAC, the UN Security Council, the EU, HM Treasury, ECOWAS, or other applicable sanctioning bodies. GOSAR screens all Clients and transactions against applicable sanctions lists and may block services where a match is identified.
09 Prohibited Conduct
You must not use the GOSAR Platform or services for any of the following purposes:
Illegal & Fraudulent Activities
- Money laundering, terrorist financing, or sanctions evasion
- Fraud, identity theft, or unauthorised use of another party's credentials or payment instruments
- Operating unlicensed financial services in regulated markets
- Tax evasion or facilitation of tax fraud
Prohibited Products & Services
- Unlicensed gambling or betting platforms
- Sale of illegal drugs, controlled substances, or counterfeit goods
- Adult content platforms, unless specifically approved in writing by GOSAR
- Arms, weapons, or ammunition sales not authorised under Applicable Law
- Pyramid schemes, Ponzi schemes, or deceptive investment products
- Unregistered cryptocurrency exchanges or services that violate applicable virtual asset regulations
Platform Misuse
- Attempting to bypass, disable, or circumvent any security or access control mechanism on the Platform
- Reverse engineering, decompiling, or extracting the source code of any GOSAR software
- Scraping, crawling, or extracting data from the Platform without authorisation
- Introducing malware, viruses, or other malicious code to the Platform
- Impersonating GOSAR, its staff, or another Client
Reputational & Regulatory Risk
- Activities that would expose GOSAR to regulatory sanction, reputational harm, or loss of license in any jurisdiction
- Processing transactions that breach applicable consumer protection, data protection, or financial services laws
- Any use that violates the rights of third parties, including intellectual property rights
Violation of this section is a material breach entitling GOSAR to immediate termination and may be referred to law enforcement or regulatory authorities.
10 Intellectual Property
GOSAR's IP
All intellectual property rights in the Platform, including its software, design, trademarks, trade names, logos, documentation, and proprietary processes, are owned by or licensed to GOSAR. Nothing in these Terms transfers any ownership of GOSAR's IP to you. You receive only a limited, non-exclusive, non-transferable, revocable licence to use the Platform for the purposes set out in these Terms and your Service Agreement.
Your Content & Data
You retain ownership of all User Content you submit to the Platform. By submitting User Content, you grant GOSAR a worldwide, royalty-free licence to use, process, store, and transmit that content to the extent necessary to provide the services, fulfil regulatory obligations, and improve the Platform. This licence terminates upon deletion of your account, subject to any retention obligations under Applicable Law.
Aggregate & Anonymised Data
GOSAR may use aggregated and anonymised data derived from Platform usage (where no individual or business is identifiable) for product development, market research, and reporting. This use does not constitute a breach of confidentiality.
Feedback
If you provide suggestions, feedback, or ideas about GOSAR's services, you grant GOSAR a perpetual, irrevocable, royalty-free licence to use such feedback without restriction or compensation to you.
11 Confidentiality
Each party ("Receiving Party") agrees to keep confidential all non-public information disclosed by the other party ("Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure ("Confidential Information").
Confidential Information includes: business plans, client lists, licensing strategies, pricing structures, technical architecture, and regulatory submissions. It does not include information that:
- Is or becomes publicly available other than through breach of these Terms
- Was independently developed by the Receiving Party without use of Confidential Information
- Is required to be disclosed by Applicable Law, court order, or regulatory authority β in which case the Receiving Party will give prompt notice where lawfully permitted
Confidentiality obligations survive termination of these Terms for five (5) years, or indefinitely in the case of trade secrets.
12 Disclaimers & Warranties
GOSAR provides the Platform and services on an "as is" and "as available" basis. To the fullest extent permitted by Applicable Law, GOSAR expressly disclaims all warranties, representations, and conditions of any kind, whether express, implied, or statutory, including:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Any warranty that the Platform will be uninterrupted, error-free, or secure
- Any warranty as to the accuracy, completeness, or timeliness of information provided through the Platform
- Any guarantee as to the outcome of any regulatory application or licensing process facilitated by GOSAR
Licensing Outcomes: GOSAR facilitates and manages regulatory licensing processes but does not guarantee that any license application will be approved by the relevant authority. Regulatory decisions rest entirely with the applicable regulator. GOSAR's fees for licensing facilitation services are not contingent on application outcome unless expressly agreed otherwise in a Service Agreement.
13 Limitation of Liability
Exclusion of Consequential Loss
To the fullest extent permitted by Applicable Law, GOSAR shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of business, loss of data, or loss of goodwill, even if GOSAR has been advised of the possibility of such damages.
Cap on Liability
GOSAR's total aggregate liability for any claims arising out of or in connection with these Terms or the services shall not exceed the greater of:
- (a) the total fees paid by you to GOSAR in the twelve (12) months immediately preceding the event giving rise to the claim; or
- (b) USD 10,000 or the equivalent in the applicable local currency
Exceptions
The above limitations do not apply to liability for death or personal injury caused by GOSAR's gross negligence or wilful misconduct, fraud or fraudulent misrepresentation, or any liability that cannot be lawfully excluded in the applicable jurisdiction.
14 Indemnification
You agree to indemnify, defend, and hold harmless GOSAR, its affiliated entities, directors, officers, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and fees (including reasonable legal fees) arising out of or relating to:
- Your breach of these Terms or any Service Agreement
- Your use of the Platform in violation of Applicable Law
- Your User Content or the conduct of your business
- Any violation of third-party rights, including intellectual property rights
- Any claim by an End User arising from your products, services, or conduct
- Any regulatory action against GOSAR resulting from your breach of Applicable Law or these Terms
15 Termination & Suspension
Termination by You
You may terminate your account by providing written notice to GOSAR in accordance with the notice provisions in your Service Agreement (or 30 days' written notice if no Service Agreement exists). Termination does not relieve you of any obligation to pay outstanding fees or fulfil obligations that arose before the termination date.
Termination or Suspension by GOSAR
GOSAR may suspend or terminate your access to the Platform, with or without prior notice depending on the circumstances, where:
- You materially or repeatedly breach these Terms or a Service Agreement
- Fees remain unpaid for more than 30 days beyond the due date after written notice
- You become insolvent, enter administration, or commence winding-up proceedings
- A regulatory direction, court order, or legal obligation requires termination or suspension
- Your AML/KYC status changes such that continued service would expose GOSAR to regulatory or legal risk
- Your conduct poses a risk to the Platform, other Clients, or End Users
Effects of Termination
- GOSAR will provide reasonable assistance to facilitate transition of your services
- Outstanding settlements will be processed subject to any applicable holds, reserves, or set-offs
- Provisions that by their nature should survive (confidentiality, IP, indemnity, limitation of liability, and dispute resolution) continue in effect
- GOSAR will retain your data as required by Applicable Law and in accordance with our Privacy Policy
16 Dispute Resolution
Informal Resolution
Before initiating any formal dispute process, you agree to contact GOSAR at legal@gosar.co and attempt to resolve the dispute informally within 30 days. Most disputes can be resolved quickly through direct communication.
Governing Law (General)
Subject to the jurisdiction-specific supplements below, these Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
Arbitration
Where a dispute cannot be resolved informally, it shall be referred to and finally determined by binding arbitration under the rules of the Lagos Court of Arbitration (LCA), or such other arbitral body as agreed in a Service Agreement. The seat of arbitration shall be Lagos, Nigeria. The language shall be English. The award shall be final and binding.
Exceptions to Arbitration
Either party may seek urgent injunctive or interim relief from a court of competent jurisdiction without first submitting to arbitration. Nothing in this clause prevents GOSAR from referring matters to a regulatory authority.
Class Action Waiver
To the fullest extent permitted by Applicable Law, you waive any right to participate in a class action, class arbitration, or representative proceeding against GOSAR. Disputes must be brought and resolved on an individual basis.
Jurisdiction-Specific Supplements
The following supplements modify or add to the general Terms above for users in specific jurisdictions. Where there is a conflict between a supplement and the general Terms, the supplement governs for residents of that jurisdiction.
GOSAR is registered as a Money Services Business (MSB) applicant with FINTRAC and operates its Canadian payment services infrastructure in compliance with the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA) and applicable provincial consumer protection legislation.
Governing Law (Canada)
For Canadian Clients and users, these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties submit to the non-exclusive jurisdiction of the courts of Ontario for interim relief; disputes are otherwise subject to arbitration as set out in Section 16.
Cooling-Off Rights
Where required under applicable provincial consumer protection legislation β including British Columbia's Business Practices and Consumer Protection Act, Ontario's Consumer Protection Act, and Quebec's Consumer Protection Act β you may have a statutory right to cancel a service contract within the prescribed cooling-off period. These statutory rights cannot be waived and take precedence over any contrary provision in these Terms.
Quebec Supplement
For clients and users in Quebec, these Terms are available in French upon written request to legal@gosar.co. Mandatory provisions of the Quebec Consumer Protection Act and the Civil Code of Quebec apply notwithstanding any contrary provision herein. The Office de la protection du consommateur (OPC) is the applicable consumer protection authority for Quebec residents.
MSB & FINTRAC Obligations
As a registered MSB, GOSAR is required under PCMLTFA to collect and verify client identification information, maintain transaction records, and file suspicious transaction reports and large cash transaction reports with FINTRAC. These obligations are mandatory, non-negotiable, and cannot be restricted by contractual agreement.
Currency Exchange
Where GOSAR facilitates currency exchange as part of its services in Canada, it does so as a regulated foreign exchange dealer. Exchange rates applied are disclosed in your Service Agreement or at the time of the transaction.
Complaints
Unresolved complaints may be directed to the Financial Consumer Agency of Canada (FCAC) at canada.ca/fcac or to applicable provincial consumer protection authorities.
GOSAR operates in Nigeria through its affiliated Nigerian entity in compliance with the regulatory framework established by the Central Bank of Nigeria (CBN), including applicable Payment System Management regulations, and with the Federal Competition and Consumer Protection Act (FCCPA) 2018.
Governing Law (Nigeria)
For Nigerian Clients and users, these Terms are governed by the laws of the Federal Republic of Nigeria. Disputes are subject to arbitration under the Lagos Court of Arbitration rules, seated in Lagos, Nigeria.
CBN Regulatory Obligations
GOSAR's payment services in Nigeria are subject to CBN oversight. Clients using GOSAR's Nigerian payment infrastructure must comply with all applicable CBN circulars and directives, including those relating to transaction limits, foreign currency management, and BVN/NIN verification requirements. GOSAR may implement CBN-directed restrictions on your account where required.
Consumer Protection (Nigeria)
Nigerian Clients and End Users benefit from protections under the FCCPA 2018, including protection against misleading representations, unfair contract terms, and the right to seek redress through the Federal Competition and Consumer Protection Commission (FCCPC). Nothing in these Terms diminishes rights conferred by the FCCPA.
Naira-Denominated Services
Services denominated in Nigerian Naira (NGN) are subject to CBN foreign exchange policies. GOSAR complies with all applicable forex regulations and is not liable for restrictions imposed by CBN on currency conversion or international transfers.
Dispute Escalation β CBN
Unresolved complaints relating to payment transactions may be escalated to the CBN Consumer Protection Department at cbn.gov.ng after following GOSAR's internal complaints process.
GOSAR serves clients in Cameroon in compliance with the regulatory framework applicable to payment services in the CEMAC zone, including regulations issued by the Banking Commission of Central Africa (COBAC), Bank of Central African States (BEAC) directives, and applicable OHADA commercial law.
Governing Law (Cameroon)
For Cameroonian Clients, these Terms are governed by applicable OHADA uniform acts and the laws of the Republic of Cameroon. Commercial disputes may be referred to OHADA-compliant arbitration or the Common Court of Justice and Arbitration (CCJA) seated in Abidjan, CΓ΄te d'Ivoire.
CEMAC AML Compliance
GOSAR's operations in Cameroon comply with the CEMAC Anti-Money Laundering and Counter-Terrorism Financing Regulation and applicable COBAC AML guidelines. Client identification and transaction monitoring requirements apply to all accounts, and reports are filed with the applicable financial intelligence authority where required by law.
BEAC Foreign Exchange
Cross-border payment transactions from Cameroon are subject to BEAC foreign exchange regulations and any applicable CEMAC directives on capital movements. GOSAR complies with these requirements and is not liable for restrictions imposed by BEAC or competent authorities on currency conversion or international transfers.
Bilingual Service
In recognition of Cameroon's bilingual official status, GOSAR will make key contractual and service communications available in both English and French upon written request. Contact support@gosar.co for French-language service documentation.
Regulatory Evolution
Cameroon's fintech regulatory framework is evolving. GOSAR will update these Terms as new regulations applicable to our services in Cameroon come into force, with advance notice to affected Clients where practicable.
To the extent GOSAR provides services to clients or processes transactions involving individuals or businesses in the EU or UK, it does so in compliance with the EU Payment Services Directive 2 (PSD2), applicable EU/UK AML directives, and relevant consumer protection laws.
Governing Law (EU / UK)
For EU-based Clients, these Terms are governed by the laws of the Republic of Ireland (or the applicable EU member state where mandatory local law requires). For UK-based Clients, these Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have non-exclusive jurisdiction, without prejudice to mandatory protections under applicable UK law.
UK Consumer Rights
UK consumers benefit from rights under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Where applicable, UK consumers may have a 14-day cancellation right for services not yet commenced. These statutory rights cannot be excluded by these Terms.
EU Consumer Rights
EU consumers have rights under the Consumer Rights Directive (2011/83/EU) including the right to clear pre-contractual information and a 14-day right of withdrawal for distance contracts. For professional (B2B) clients in the EU, standard commercial terms apply without the consumer-facing cancellation provisions.
Unfair Contract Terms
For EU consumers, Directive 93/13/EEC on unfair terms in consumer contracts applies. For UK consumers, the Consumer Rights Act 2015 (Part 2) applies. Terms that would be considered unfair under applicable law shall have no binding effect on consumers in the relevant jurisdiction.
FCA Licensing Status
GOSAR is in the process of obtaining FCA authorisation in the United Kingdom. Until FCA authorisation is obtained, GOSAR does not provide standalone regulated payment services to UK residents within the UK regulatory perimeter. UK Clients should seek written confirmation of GOSAR's applicable regulatory status at the time of contracting.
Complaints β EU / UK
EU consumers may seek redress through applicable national alternative dispute resolution (ADR) schemes. UK consumers may contact the Financial Ombudsman Service (FOS) at financial-ombudsman.org.uk for payment-related complaints where GOSAR holds the relevant regulatory permission.
17 General Provisions
Entire Agreement
These Terms, together with your Service Agreement (where applicable), the Privacy Policy, and any other policies incorporated by reference, constitute the entire agreement between you and GOSAR with respect to the Platform and services, superseding all prior negotiations, representations, or agreements.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
Waiver
GOSAR's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any breach shall not constitute a waiver of any subsequent breach.
Force Majeure
Neither party shall be liable for failure or delay in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of government, regulatory interventions, civil unrest, pandemic, or failure of internet infrastructure. Where a force majeure event continues for more than 60 days, either party may terminate affected services on written notice.
Assignment
You may not assign, transfer, or sublicense your rights or obligations under these Terms without GOSAR's prior written consent. GOSAR may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, with notice to you.
Notices
All notices under these Terms shall be in writing and sent by email. Notices to GOSAR must be sent to legal@gosar.co. Notices to you will be sent to the email address on your account. Notices are deemed received 24 hours after sending if no bounce-back is received.
Relationship of the Parties
Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency between you and GOSAR. You have no authority to bind GOSAR to any obligation.
Updates to These Terms
GOSAR will notify you of material changes to these Terms by email and/or in-platform notification at least 30 days before the changes take effect, or as required by Applicable Law if longer. Changes required by law or regulatory direction may take effect immediately. If you disagree with a material change, you may terminate your account before the effective date.
